Job Summary
Booking Holdings Financial Services is looking for an experienced legal executive with company secretarial experience to join our global legal team, based out of Dublin.
This role is at the heart of our organization and has two main components.
Working under the supervision of the Global Head of Legal and closely with our Chief Administrative Officer / Company Secretary, you will be responsible for making sure that robust and proportionate corporate governance processes are implemented and adhered to, which are fit for purpose for world class regulated firms.
You will also be responsible for acting as a legal operations manager to the global BHFS legal team and will be responsible for developing, improving and maintaining the global legal team’s internal processes, systems and tools, including in respect of law firm management.
Key Responsibilities
Corporate Governance related responsibilities and duties
Primary responsibility under this area is to work closely with the CAO / Company Secretary and Chief Executive Officer to coordinate (i) Board meetings; (ii) committee meetings and (iii) management team meetings across the various BHFS entities. This will include:
Assisting with the set up and design of world class corporate governance processes for subsidiaries of a large multinational company.
Preparing and circulating agendas in accordance with company policies and relevant legal requirements.
Preparing records of meetings including Board resolutions in accordance with company policies and legal requirements.
Taking accurate minutes, following up action points, and making sure meetings run in accordance with prevailing terms of reference and follow up filings are made appropriately.
Coordinating communications with Board members and management members between meetings and being the primary point of contact for management and Board members for the organization of such meetings [and also in terms of conflicts of interests and hospitality, remuneration and expenses, invitations and correspondence].
Assisting with arrangements for annual Board member evaluation and reviews.
Assist with managing the D&O insurance portfolio, including purchases and renewals and claims information.
Updating and managing corporate systems including GEMS, Service Now etc in respect of all documentation associated with Boards and Committees.
Legal executive/ operations responsibilities and duties:
Assist with law firm onboarding, e-billing administration and maintenance, monthly accruals, and legal billing support (e.g., managing vendors, invoices, and timekeepers).
Respond to emails from law firms, vendors, and department colleagues based on documented guides and processes.
Create and run reports using our e-billing tool and Microsoft Excel.
Help develop and enforce processes and policies to manage use of outside counsel.
Assist with department memberships and subscriptions.
Handle special projects as needed to support the global legal team such as adoption of a new contract management tool.
Ensure that all legal team records are stored in secure, organized file systems to support shared knowledge and compliant record-keeping.
Support implementation of document retention and destruction policy and legal hold process.
Assist in the monitoring and enforcement of Legal policies and procedures.
Preparing presentations and updates from the Global Head of Legal on legal department updates.
Diary organization and expense management for the Global Head of Legal and the CAO.
Knowledge Skills & Abilities
Law degree or corporate governance qualifications.
Experience of working in an inhouse role covering either one or both of the corporate governance and legal operations role.
Experience of working with senior stakeholders essential.
Unquestionable commitment to maintaining confidentiality and demonstrated discretion with sensitive information.
Ability to prioritize complex and competing demands and highly competent at multitasking.
Extremely organized with commitment to maintaining user-friendly systems, procedures and records.
Strong oral and written communication skills with excellent attention to detail.
Strong computer literacy with good working knowledge of MS Office, legal technology, and Docusign.
Experience of document management systems, contract management tools such as Apptus and GEMS would be an advantage.
